Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Crown Contracts, a software service provided by Crown Intel LLC (“Crown Intel,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Crown Contracts(the “Service”), you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not create an account or use the Service.

2. Eligibility & Accounts

You must be at least 18 years old and capable of entering a binding contract to use the Service. The Service is intended for business use by construction companies and related professionals — not for personal or consumer use.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@crownintel.co if you suspect unauthorized access.

3. Description of Service

Crown Contracts is an ai-powered construction contract review. upload contracts, analyze against your playbook, and get actionable risk reports. The Service allows users to upload PDF contracts, configure a custom playbook of review rules, and receive AI-generated analysis identifying potential risks, missing protections, and negotiation recommendations.

The Service also supports team collaboration features including assignment of findings, workflow tracking, and team member invitations.

4. Subscriptions & Billing

The Service is offered on a monthly subscription basis. Subscription plans (Starter, Professional, Enterprise) include defined limits on contract analyses, user seats, and playbooks. Current plan details and pricing are available on your billing page.

  • Subscriptions auto-renew monthly unless canceled before the renewal date.
  • Payment is processed by Stripe; we do not store full payment card details on our servers.
  • You may cancel, upgrade, or downgrade your subscription at any time via the Stripe customer portal accessible from your billing page.
  • Refunds are provided at our discretion. Pro-rated refunds are not generally offered for partial months.
  • If a payment fails, your account may be downgraded to read-only access until payment is restored.

5. Free Trial

New accounts receive a free trial of 2 contract analyses with no credit card required. After the trial allowance is consumed, you must subscribe to a paid plan to continue analyzing additional contracts. Existing analyses, playbooks, and uploaded documents remain accessible during and after the trial.

6. Acceptable Use

You agree to use the Service only for lawful purposes. You will not:

  • Upload contracts or documents you do not have the legal right to analyze.
  • Upload material that violates any third party rights, including confidentiality obligations to which you are bound.
  • Use the Service to engage in any illegal activity, including but not limited to fraud, money laundering, or violation of export controls.
  • Attempt to reverse engineer, decompile, or extract the underlying AI models or prompts.
  • Use the Service to build a competing product or scrape data at scale.
  • Share account credentials outside your organization or with users beyond your subscribed seat count.

We reserve the right to suspend or terminate any account engaged in conduct that violates these Terms.

7. Intellectual Property

Your content. You retain all rights to the contracts and documents you upload, the playbook rules you create, and the analysis results generated for your account. Crown Intel does not claim ownership of your content.

Our Service. The Crown Contracts application, branding, design, source code, and documentation are owned by Crown Intel and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your active subscription.

You grant us a limited license to process your content as needed to provide the Service — including transmitting contract text to our AI processing provider for analysis. This license terminates when you delete the content or close your account.

8. AI Analysis Disclaimer & Limitation

Crown Contracts is an AI-powered analysis tool, not a lawyer, law firm, or substitute for legal counsel.

The analysis, risk scores, findings, and recommendations produced by Crown Contracts are generated by artificial intelligence and may miss clauses, misinterpret language, or produce incomplete or inaccurate results. No AI system can guarantee 100% accuracy on legal document analysis.

You should ALWAYS have contracts reviewed by a qualified attorney before signing.

You are solely responsible for:

  • Verifying every analysis result against the actual contract text.
  • Obtaining independent legal review from a qualified attorney before signing, amending, or relying on any contract.
  • All contractual decisions made by you or your team.

Crown Intel, Crown Contracts, and its operators accept NO responsibility or liability for:

  • Missed, undetected, or incorrectly analyzed contract clauses.
  • Financial losses, legal disputes, or damages arising from reliance on AI analysis.
  • Decisions made based on the tool's output without independent legal review.
  • Inaccurate risk scores, findings, or recommendations.

By using Crown Contracts, you acknowledge and accept that:

  • The tool supplements but does NOT replace professional legal review.
  • No AI system can guarantee 100% accuracy on legal document analysis.
  • You bear full responsibility for all contractual decisions.
  • Crown Intel's total liability is limited to the subscription fees you paid in the prior twelve (12) months. See Section 9 for full liability terms.

This disclaimer applies regardless of your subscription plan or feature tier (including the free trial and the internal “Free” tier).

For clarity: the Service does not establish an attorney–client relationship between you and Crown Intel. No warranty of accuracy, completeness, fitness for a particular purpose, or non-infringement is provided by Crown Intel for the analysis output.

9. Limitation of Liability

To the maximum extent permitted by law, Crown Intel and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, lost contracts, business interruption, or loss of goodwill — arising from or related to your use of the Service.

Crown Intel's total aggregate liability under these Terms shall not exceed the total amount you paid to Crown Intel in the twelve (12) months immediately preceding the event giving rise to the claim. If you did not pay anything (e.g., free trial only),Crown Intel's liability is limited to one hundred United States dollars (US$100).

You agree to defend, indemnify, and hold Crown Intel harmless from any claim arising out of your misuse of the Service, your violation of these Terms, or your reliance on AI output without independent legal review.

10. Data Handling & Security

Your contracts and analysis data are stored in encrypted cloud storage on Supabase, a SOC 2 compliant US-based infrastructure provider. Each customer's data is isolated via row-level security policies — your contracts and analyses are never accessible to other customers.

Contract text is transmitted to our AI processing provider (Anthropic) for analysis at the time of upload. Per Anthropic's API data retention policy, contract content is not retained by Anthropic after the API response is returned.

11. Termination

You may terminate your account at any time by emailing support@crownintel.co. Crown Intel may suspend or terminate your account for violation of these Terms, non-payment, or fraudulent use.

Upon termination, you will lose access to the Service. We will retain your data for up to thirty (30) days after account closure to allow recovery on request, after which data is permanently deleted from our active systems. Backup copies may persist longer pursuant to standard rotation policies.

12. Modifications to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to your account email address and posted on this page at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms shall be resolved first through good-faith mediation, and if unresolved, in the state or federal courts located in New Jersey.
